SITUATION
Delaware is situated on the eastern coast
of the United States and is the largest
State for company incorporations in the
U.S.A. Approximately 40% of all companies
listed on the New York and American Stock
Exchanges are incorporated in Delaware,
even though most of these companies are
trading outside of the State.

TAXATION OF
NON-RESIDENT CORPORATION
A Delaware non-resident corporation (i.e.
a corporation not trading in Delaware and
managed and controlled from outside Delaware)
is not subject to Delaware State Taxes.
SHARE CAPITAL
There is no minimum capital requirement.
Unless otherwise requested, the corporation
will be established with an authorised capital
of 1,500 shares of no par value, which is
the maximum capital for the minimum duty
payable.
OFFICERS OF
THE COMPANY
One person may, if they wish, hold all the
offices of a Delaware corporation, that
is, Director, President and Treasurer. It
order to appear similar to regular UK or
other EU companies, our own secretarial
company will act as company secretary.
CORPORATE ENDINGS
A Delaware limited corporation may end with
the words: Company, Corporation, Incorporated
or Limited or abbreviations such as Co.,
Corp., Inc. and Ltd.
ANNUAL REPORT
AND ACCOUNTS
A Delaware corporation must file an annual
report confirming the directors etc. each
year. A non-resident corporation is not
required to file accounts.
NOMINEES
Where required, we are able to provide nominee
directors and shareholders to act on behalf
of the beneficiaries. The names of the nominees
only would appear on the official register
at the Companies Registration Office in
Delaware which is open for inspection by
any interested party, but nominee papers
are drawn up to ensure that the beneficiaries
retain control over the corporation.
LONDON REPRESENTATIVE
OFFICE
Though your tax haven company is located
outside the UK, it is still possible to
give the impression that your company is
a regular UK registered company, for you
are able to use our address (along with
eMail, telephone and fax lines) as your
'UK representative office'. This does not
make your company subject to UK taxes, for
the use of this address is for administrative
purposes only. Correspondence and messages
that arrive here will be forwarded immediatley
on receipt.
