Gibraltar lies at the southern tip of Spain
just 13 miles from the north coast of Africa.
Gibraltar is a British Crown Colony with
a legal system broadly based on English
Common Law. Despite the ongoing debate between
the UK and Spain over the sovereignty of
Gibraltar, it is highly unlikley that there
will be any changes in the status of companies.
Company Formation
It takes approximately 10 days to incorporate
a new company though ready-made companies
are also available.

Taxation
As from 1 July 2003 all companies are free
of tax
Exchange Control
Gibraltar has no exchange control regulations
so a Gibraltar company is free to trade
in any currency and bank in any part of
the world.
Directors, Secretary, and Shareholders
All companies must have at least one director
who must be private individuals only. It
is a statutory requirement to have a Gibraltar
company secretary. Shareholders can be private
individuals or companies.
Share Capital
The company will be set up with an authorised
share capital of £2,000 (the maximum
share capital for the minimum duty payable).
100 shares are usually issued.
Annual Return
All Gibraltar companies must file an Annual
Return each year.
Accounts
All companies must file a Balance Sheet
showing assets and liabilities. This does
not require an audit, and is signed by a
director. Our annual charges include help
to complete and file this Balance Sheet.
Nominees
Where required, we are able to provide nominee
directors and shareholders to act on behalf
of the beneficiaries. The names of the nominees
only will appear on the official register
which is kept at the Companies Registration
Office in Gibraltar and is open for inspection
by any interested party, but nominee papers
are drawn up to ensure that the beneficiaries
retain control over the company.
LONDON REPRESENTATIVE
OFFICE
Though your tax haven company is located
outside the UK, it is still possible to
give the impression that your company is
a regular UK registered company, for you
are able to use our address (along with
eMail, telephone and fax lines) as your
'UK representative office'. This does not
make your company subject to UK taxes, for
the use of this address is for administrative
purposes only. Correspondence and messages
that arrive here will be forwarded immediatley
on receipt.
